The website and online service of Distributed Machines Inc.('IQ AI', 'we', 'us' or 'our')
Welcome to IQ AI, an AI + blockchain platform operated by Distributed Machines Inc., doing business as Everipedia International ("IQ AI," "we," "us," or "our").
These Terms of Service (“Terms”) govern your access to and use of IQ AI and related websites, apps, APIs, token-related features, and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference).
IQ AI focuses on integrating artificial intelligence with decentralized finance (“DeFAI”), including the Agent Tokenization Platform (ATP) for creating and deploying tokenized AI agents designed to operate within blockchain ecosystems.
IQ AI is not a broker, exchange, custodian, or financial advisor.
1. Changes to Terms
We may update these Terms at any time. If we make changes, we’ll update the “Last Revised” date and may post an in-product notice.
If changes are material, we’ll provide additional notice (e.g., banner, pop-up, or email).
Changes to arbitration won’t apply to disputes of which we had actual notice before posting.
Your continued use after changes become effective constitutes acceptance.
2. Eligibility
You must be 13 years or older to use the Service.
If you are in the EEA/UK or another jurisdiction where the age of digital consent is higher, you must be at least that age (typically 16) or have verifiable parental/guardian consent.
You represent that you meet these requirements.
3. Access & Use
Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, revocable license to use the Service.
Use only supported interfaces and comply with usage limits and access controls.
We reserve all rights not expressly granted.
3.A. APIs & Automation
Access to APIs or automated endpoints requires our consent and an API key.
We may change rate limits, quotas, or scopes.
Don’t share keys, rotate to evade limits, or circumvent controls.
4. Platform Description
IQ AI provides tools to:
- Create and deploy tokenized AI agents that may act in blockchain environments.
- Integrate agents with DeFAI protocols for experimentation and engagement.
- Enable agent-driven features including token-gated experiences, education, transparency logs, and community participation.
Agent outputs are editorial/educational/experimental.
They may be inaccurate or incomplete—verify important facts independently.
5. Inputs, Outputs, and AI/ML Use
(a) Definitions
“Inputs” are prompts or data you provide;
“Outputs” are content the Service or agents generate;
“Contributions” are other content you submit (e.g., comments or feedback).
(b) Your Rights & License
You retain rights in Inputs and Contributions.
You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, index, format, translate, adapt, reproduce, distribute, display/perform, and otherwise use them as reasonably necessary to operate, improve, and promote the Service.
(c) AI/ML & Outputs
We may use Inputs, Outputs, and other Service data (including publicly available data) to develop, train, evaluate models, and improve the Service.
Outputs may be non-unique or similar to others’.
Subject to applicable licenses, you get a non-exclusive license to use Outputs lawfully.
You may not:
(i) use Outputs to develop competing models;
(ii) reverse-engineer or probe our models beyond normal use;
(iii) remove embedded notices or attribution where present.
We retain rights in our models and systems.
(d) Moderation
We may edit, annotate, refuse, or remove Contributions and restrict features for quality, security, or legal/policy reasons.
6. Wallets & On-Chain Interactions
- We will never ask for or store private keys or seed phrases; never enter them on the Service.
- We may read public on-chain data tied to addresses you connect (balances, transactions, positions) to power features, consistent with our Privacy Policy.
- Wallet integrations are provided "as is."
- We don't custody assets, route trades, or execute transactions for you.
- You authorize and sign actions from your wallet and are solely responsible for gas, slippage, chain selection, forks/reorgs, replay risk, approvals/allowances, and interacting only with contracts you trust.
- No custody; no insurance— digital assets are not FDIC/FSCS insured and may lose value.
7. Tokens & Crypto-Specific Risks

No financial advice; no securities.
Mentions of crypto, tokens, protocols, or DeFAI are editorial or experimental and not recommendations.
Tokens within the IQ AI ecosystem (if any) are for engagement/utility, not investment.
Holding them doesn’t grant equity, dividends, profit-sharing, or corporate governance rights.
Nothing herein is an offer or solicitation of securities. -
No guaranteed yield; past performance.
APR/APY or performance figures are illustrative only and may differ materially.
Past performance is not indicative of future results; yields can be negative after fees, slippage, or network costs. -
Stablecoin depeg.
Stablecoins may depeg due to market, collateral, oracle, governance, or regulatory events, causing partial or total loss. -
Oracle / MEV / bridge risk.
Strategies or agent actions may rely on oracles, bridges, or public mempools.
Oracle manipulation, MEV/front-running, bridge failures, congestion, or reorgs can cause unintended execution or loss. -
Third-party protocols.
The Service may surface or connect to third-party protocols.
We don’t control or endorse them and aren’t responsible for their security, solvency, or performance.
Your interactions are your choice and risk.
8. User Conduct & Prohibited Uses
You must not:
- Deploy malware, phishing, scams, or market-manipulative content.
- Impersonate or misrepresent.
- Infringe IP, privacy, or publicity rights.
- Scrape, crawl, or automate without permission (except approved APIs).
- Bypass security or limits.
- Run deceptive token promotions.
- Coordinate manipulative trading, wash trading, or undisclosed promotions.
- Offer or solicit unregistered securities or facilitate illegal offerings.
- Violate sanctions, export controls, or other laws.
We may publish Content Standards (neutrality, verifiability, conflicts of interest, etc.), incorporated by reference.
9. Fees & Performance Metrics
Paid features, if any, will be disclosed before purchase or use.
Network gas fees are yours.
We may modify platform fees with reasonable notice.
Unless required by law or stated otherwise at purchase, fees are non-refundable.
When displaying APR/APY, we’ll disclose assumptions (compounding, fee treatment, sample period) and whether figures are backtested, simulated, or real.

11. IP & Branding
The Service (models, algorithms, software, look-and-feel) is owned by Distributed Machines Inc., doing business as Everipedia International and its licensors.
Don’t use our marks without permission.
Third-party marks belong to their owners; no endorsement is implied.
12. Disclaimers
The Service and Outputs may be inaccurate, incomplete, delayed, or unavailable.
Data sources (including third-party feeds) may be wrong.
The Service is provided "as is" and "as available," with no warranties of any kind (merchantability, fitness, title, non-infringement).
No fiduciary duty or advisory relationship is created.
13. Limitation of Liability
To the maximum extent permitted, we’re not liable for indirect, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
Our aggregate liability won’t exceed the greater of USD $100 or the amount you paid us in the prior 12 months.
Some jurisdictions don’t allow certain limits; in those, limits apply to the fullest extent allowed.
14. Indemnification
You will indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Inputs/Contributions, your use or misuse of the Service, or your violation of these Terms or applicable law.
15. Privacy
Your use of the Service is subject to our Privacy Policy.
16. Jurisdictional Notices & Compliance
- You're responsible for complying with laws where you use the Service.
- You represent you aren't located in, controlled by, or a resident of a sanctioned jurisdiction and won't use the Service in violation of export, sanctions, or financial regulations.
- We may geo-block, IP-block, or wallet-block features to comply with restrictions.
- Taxes: You are solely responsible for tax reporting and payment (including rewards or yield) and for maintaining records.
- Financial Promotions: Nothing here constitutes a financial promotion or invitation in jurisdictions where authorization is required (e.g., UK FSMA, EU equivalents); we may restrict access accordingly.
17. Third-Party Links
We’re not responsible for third-party sites, products, or services.
18. Notices — Single Point of Contact
webmaster@iq.wiki is our single contact for all legal/policy matters (DMCA, trademark/publicity, security, DSA notices/appeals, accessibility, arbitration opt-outs, etc.).
We may provide web forms for convenience, but email is sufficient.

19. Security & Responsible Disclosure
If you comply with our Responsible Disclosure Policy, avoid disruption, don’t access personal/non-public data beyond what’s needed to demonstrate an issue, and give reasonable remediation time before public disclosure, we won’t pursue legal action.

20. Modifications & Emergency Actions
We may modify, suspend, or discontinue features at any time.
In emergencies (security incidents, market events, protocol failures, legal requirements), we may pause features, adjust parameters, or disable actions without prior notice.
21. Termination
You may stop using the Service at any time.
We may suspend or terminate access and remove content for violations or to protect users or the Service.
Where required, we’ll provide notice.
On-chain approvals or allowances you granted remain your responsibility to revoke.
22. Arbitration & Class Action Waiver (U.S. Consumers Only)
U.S. residents agree to binding arbitration (AAA rules) on an individual basis — no class actions or jury trials.
Small-claims carve-out applies.
Opt-out within 30 days by emailing webmaster@iq.wiki with your name and account email.
Venue: Clark County, Nevada, or video conference.
Parties may seek injunctive relief in court to protect IP or prevent unauthorized access.
EEA/UK & similar: where mandatory consumer laws prohibit arbitration/class waivers, disputes may be brought in your local courts.
23. Events Outside Our Control
Force-majeure events include natural disasters, public-health crises, government actions, labor disputes, hosting/internet/power failures, and DDoS.
The affected party will mitigate and notify; payment obligations already due aren’t excused.
If such events last 30 + days, either party may suspend or terminate affected services on notice.
24. Survival
Sections 1, 3, 3.A, 4–9, 10–12, 13–16, 17–21, 22–27 survive termination.
25. Time to File Claims
To the fullest extent permitted by law, claims must be filed within one (1) year after accrual; otherwise they’re barred.
This doesn’t limit non-waivable statutory periods applicable to consumers.
26. Governing Language
These Terms were prepared in English; the English version controls.
Translations are for convenience only.
27. Miscellaneous
These Terms constitute the entire agreement and supersede prior versions.
You may not assign them without consent; we may assign freely.
If a provision is unenforceable, the remainder remains effective.
Our failure to enforce isn’t a waiver.
Governing Law: Nevada law (excluding conflict-of-law rules) governs, and the Federal Arbitration Act governs §22, without prejudice to mandatory consumer protections of your habitual residence.
